Terms of Service

1. Agreement to Terms

By accessing or using Cognova ("the Service"), operated at cognova.dev, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Cognova is a managed AI agent workspace powered by Anthropic's Claude. The Service allows you to create AI agents, bind tools, upload knowledge files, and collaborate in team workspaces.

3. Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must be at least 13 years old to use the Service.

4. Workspaces and Teams

Workspaces are the primary organizational unit. Workspace owners can invite members and manage permissions. All data within a workspace is scoped to that workspace.

The Service uses a credit-based system. Credits are consumed when interacting with AI agents. Different model tiers consume different amounts of credits (Fast: 1 credit, Balanced: 3 credits, Pro: 5 credits). Credits reset monthly and do not roll over. Paid plans are billed monthly. You may cancel at any time, effective at the end of the current billing period.

6. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy. You agree not to use the Service for any prohibited purposes outlined therein.

7. Intellectual Property

You retain ownership of all content you provide to the Service (inputs, uploaded documents, configurations). You grant Cognova a limited license to process this content solely for providing the Service. AI-generated outputs are yours to use, subject to Anthropic's usage policies. Cognova retains ownership of the platform, codebase, and all related intellectual property.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We process your data in accordance with applicable laws and our data handling practices.

9. Third-Party Services

The Service uses Anthropic's API for AI processing. Your AI interactions are subject to Anthropic's terms and data policies. We also use Railway for hosting and Resend for transactional email.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications that temporarily affect availability. We are not liable for any downtime or service interruptions.

11. Limitation of Liability

To the maximum extent permitted by law, Cognova shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. AI-generated outputs may contain errors or inaccuracies. You are responsible for reviewing and verifying all AI outputs before relying on them.

13. Termination

We may suspend or terminate your access to the Service if you violate these Terms or our Acceptable Use Policy. You may terminate your account at any time through the account settings. Upon termination, your data will be retained for 30 days before deletion, unless otherwise required by law.

14. Modifications

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

16. Dispute Resolution

Any disputes arising from these Terms will first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
